Acceptance of Terms
By accessing or using the services provided by the company, users agree to be bound by these terms of service. If a user does not agree with any part of these terms, they must refrain from using the services. These terms create a legally binding agreement between the user and the organization with respect to the services offered.
Service Usage
Services are provided pursuant to the agreements, statements of work, or project plans established between the parties. Users agree to provide accurate information, necessary access, and cooperation required for the company to perform its obligations. Timely feedback and required approvals are essential; delays caused by the user may alter timelines and costs.
Prohibited uses include any activity that violates law, infringes on third-party rights, or attempts to interfere with the functionality of the services or related systems. The organization reserves the right to suspend or refuse service for conduct that threatens system integrity or legal compliance.
Intellectual Property
All intellectual property rights in materials created by the organization remain with the company unless otherwise assigned in a written agreement. When deliverables are transferred to a client, the transfer will be governed by the terms of the specific agreement; any third-party software or libraries included may be subject to separate licenses that impose obligations on the user.
Users warrant that any materials they provide for inclusion in work products do not infringe third-party intellectual property rights and indemnify the organization against claims arising from user-provided content.
Limitation of Liability
To the fullest extent permitted by law, the organization’s liability for direct damages arising out of or related to these terms and the services provided is limited to the fees paid by the user for the specific services that gave rise to the claim. The organization is not liable for indirect, incidental, consequential, punitive, or special damages, including loss of profits, data, or business interruption, even if advised of the possibility of such damages.
Termination
Either party may terminate an engagement according to the termination provisions set forth in the applicable agreement or statement of work. In the absence of a separate agreement, the organization may terminate services upon notice if the user materially breaches these terms or fails to provide required cooperation. Upon termination, fees for services performed up to the date of termination remain payable, and the organization may retain copies of work products for record-keeping and legal compliance.
Changes to Terms
The organization may revise these terms from time to time. Material changes will be communicated through the website or other appropriate means. Continued use of the services after changes become effective constitutes acceptance of the new terms. Users are encouraged to review the terms periodically to stay informed about their rights and obligations.
